These Enterprise Provisions supplement the Terms of Service for customers that have signed an Order Form or master services agreement (“MSA”) with FlashTower.
1. Order of precedence
If documents conflict, the following order of precedence applies: (a) the Standard Contractual Clauses, where applicable; (b) a signed Order Form, only for the specific transaction it covers; (c) a signed MSA; (d) the Data Processing Addendum or a custom data processing agreement signed by both parties, for data-protection matters; (e) the Terms of Service; and (f) the other policies referenced in the Terms of Service.
2. Service levels
Service-level commitments apply only if expressly set out in an Order Form. Unless the Order Form states otherwise, service credits described there are Customer's sole and exclusive remedy for failure to meet the service level.
3. Invoicing and purchase orders
Invoiced fees are due within 30 days of the invoice date unless the Order Form states otherwise. Purchase orders are for Customer's administrative convenience only; their terms, and terms in vendor portals, supplier codes of conduct, or similar documents, do not modify the Agreement unless FlashTower expressly agrees to them in a signed writing that refers to this provision.
4. Data protection and security reviews
Enterprise customers may request a countersigned Data Processing Addendum or propose a custom data processing agreement. FlashTower responds to reasonable security questionnaires once per year and following a Security Incident. Any enterprise-specific retention period, such as retaining audit logs for the life of the account, applies only if set out in the Order Form.
5. Other terms
An Order Form may set out additional terms, such as committed usage, custom term lengths, renewal notice periods, or indemnities. Except as expressly modified by a signed Order Form or MSA, the Terms of Service, including the limitation of liability and dispute-resolution provisions, apply in full.
